Process of registering a Norwegian company

1. Choose a Norwegian company name. Verify the proposed registered name with the Norwegian Company Registry.

2. Draft company establishment documents.

3. Submit company information for review. The Norwegian Registry will approve the company registration.

4. The Norwegian company is successfully registered. We will mail a full set of documents including the company registration certificate.

 

Full set of documents obtained after the Norwegian company is successfully registered

1. Norwegian company registration certificate;

2. Norwegian company articles of association and share capital;

3. Norwegian company tax number;

4. A list of Norwegian company documents;

5. Norwegian company seal.

 

Conditions for registering a Norwegian company

1. At least one shareholder: At the beginning of registration, local shareholders must account for at least 50% of the total number of shareholders of the company (if the company has two Chinese shareholders, two local shareholders are required. After registration, local shareholders are no longer required and the shares can be transferred back to the Chinese shareholders).

2. At least one director: At least one local director holding a local residence permit or a residence permit of an EU country.

3. Registered capital: 30,000 Norwegian kroner (paid), up to 100,0000 Norwegian kroner.

4. Company address: must be in Norway.

5. You need to open an account in person.

 

Documents required for registering a Norwegian company

1. Norwegian company name: 3 names are recommended for selection.

2. Information of shareholders and directors (name, contact information, home address, email, etc., signature).

3. Registered capital account: The bank account bills for the bank account where the capital is to be remitted for the last six months, and the bank shall provide proof of customer relationship (indicating the account opening time and good account credit, etc.).

4. Business scope of the company: basically no restrictions (except for special industries).

5. Business plan of the company.

6. Relevant notarized documents.

Note: If you are a shareholder of the company, you need to provide proof of the good business reputation of the shareholder company (company account bank letter proof, etc.)

 

III. Relevant notarized documents include:

1. Individual shareholders:

1) Notarization of shareholder's passport

2) Notarization of shareholder's address certificate (name and address on telephone bill, electricity bill, bank bill)

3) Notarization of company director's passport (signature column and signature required)

4) Notarization of company director's address certificate (name and address on telephone bill, electricity bill, bank bill)

2. Company shareholders:

1) Business license of the shareholder company

2) Identity certificate of the legal representative of the shareholder company (passport)

3) Identity certificate of shareholders holding more than 25% of the shares in the shareholder company (passport)

4) Articles of association of the shareholder company

5) Resolution of the board of directors of the shareholder company agreeing to establish the company (signature of the company director, signature of the legal representative)

6) Identity certificate of the director of the Chinese company sent by the shareholder company

7) Authorization letter from the shareholder company authorizing the Chinese director to handle registration matters locally (if the director is not a shareholder or legal person of the shareholder company)

8) Notarization of the passport and address proof of the company director (a signature column and signature are required)
