Conditions for registering a German company
I. Conditions to be met for establishing a German company
1. Shareholders who are over 18 years old and have no nationality restrictions;
2. Basic information such as the name and business scope of the German company;
3. The actual business address in Germany is required;
4. Shareholder information is required: legal representative information and a scanned copy of his passport (at least one shareholder is required, and the legal representative and shareholder can be the same person);
5. The company's manager must be a German citizen or have the nationality of an EU country (our company can provide it);
6. Registered capital: (According to the changes in the German Company Law in November 2008, the registered capital verification amount for establishing a limited liability company is half of the actual registered amount: 25,000€).
II. Documents required to establish a German company
1. Provide 3 German company names (can be in Chinese, English and German for future reference);
German companies are relatively free to name, and the German government allows company names to contain words such as international and industrial; German companies can be registered using both German and English names, or in one language.
2. Reasons, purposes and business scope for registering a German company (trade in prohibited goods, dangerous goods, etc. is not allowed);
3. Company registration address: must be a local address in Germany (our company can provide it);
4. Provide a photocopy or scan of the ID card and passport of at least one shareholder;
5. Prepare a minimum registered capital of 25,000 euros (the company must provide relevant proof of payment in a German bank and proof of a capital account in a German bank, and keep it properly);
6. A letter of authorization signed by a manager in person must also be obtained (to authorize a local agent to submit registration documents to the competent commercial and company registry).
III. Types of registration of German companies
1. German Limited Liability Company (GmbH for short)
The minimum registered capital required by law is 25,000 euros (approximately 200,000 yuan). Each shareholder bears limited liability for the company for the amount of capital subscribed, and the company bears liability for its debts with all its assets. It is the most common form of company.
2. German Stock Corporation (AG for short)
Refers to a company whose capital is composed of shares, and the shareholders are liable for the company to the extent of the shares they subscribe. At the beginning of its establishment, it must be fully subscribed by the founding shareholders, and its shares can be traded on the stock exchange.
3. German Individual Company (KG/OHG form)
A registration form applied for by an individual for independent operation. A natural person registers in his or her own name and serves as a legal person or shareholder, and assumes unlimited liability for the company with all his or her assets. This registration form requires a long-term residence permit in Germany.
IV. What a German company needs to do in the later stage of operation
1. It is necessary to open a German bank account: to facilitate the subsequent business capital transactions and avoid foreign exchange control.
2. Apply for business registration procedures: that is, the company legal person registers with the industrial and commercial department of the city where he or she resides.
3. Business license application: In order to carry out business activities, a business registration application should also be submitted to the local Economic and Order Bureau.
4. Tax number application: A newly established company in Germany should apply for an EU tax number at the local tax bureau, which is equivalent to the company number of the German tax system.
