Types of Russian companies
1. Limited Liability Company (OOO)
Shareholders of a limited liability company (OOO) have limited liability for the company within the scope of their investment. Due to its low formation requirements, the limited liability company is the most common type of company in Russia.
2. Joint Stock Company (Akshionenernovo)
A joint stock company (AO) refers to a corporate entity in which the company's capital is divided into shares, which belong to the company's shareholders. The company is only required to provide and disclose information on the company's founding shareholders to the Russian tax registry.
Process of company registration in Russia
1. Prepare the information of the Russian company
1) Provide the company name in English.
2) Select the registered address in Russia, and our company can provide the local address in Russia.
3) Select the business scope. Russia has a detailed classification of various economic activities, namely the All-Russian Economic Activity Classification Manual (foreign basic investment legal entities are prohibited from entering the national security field, such as geological research or mineral mining, etc.).
4) Documents of directors and shareholders of the company: scanned copies of the passports and ID cards of directors and shareholders, and notarized translation.
2. Determine the registered capital (according to regulations, the minimum capital is 10,000 rubles ($152)).
3. Draft the articles of association (which should contain detailed information about the company's regulations and their structure).
4. Notarized translation of necessary documents (all submitted documents should be in Russian or translated into Russian, and shareholders and directors must be certified by the embassy).
5. After preparing all the information, submit it to the local registration office in Russia for review.
6. The Russian company is successfully registered.
Conditions for registering a company in Russia
1. Russian company name: must be in Russian.
2. Registered capital: minimum 10,000 rubles, must be paid in full.
3. Shareholders and directors of a Russian company: shareholders can be one or more natural persons and legal persons. Directors must be natural persons and notarized by the embassy. A legal entity controlled by one person cannot be a shareholder of a Russian LLC.
4. Russian registered address.
5. Russian general manager: a Russian citizen is required to serve as the general manager of the company (our company can provide it).
