Process of registering a Dutch company

1. Choose a Dutch company name.

2. Prepare registration information. Company name, registered address, director and shareholder information and member signature samples, business scope and other related documents.

3. Draft company establishment documents. We will draft company articles and other related documents based on your basic information.

4. Submit company information for review. The local Chamber of Commerce in the Netherlands will approve the business registration.

5. Bank verification. The minimum registered capital for bank verification is 18,000 euros.

6. Establish company registration information. Register with the Tax Department and then register with the UWV Bureau.

7. The Dutch company is successfully registered.

 

A full set of documents obtained after successful registration of a Dutch company

1. Dutch company registration certificate (commercial registration certificate in Dutch);

2. Dutch company information registration document;

3. Dutch company articles of association and share capital (in Dutch);

4. A contract for the establishment of the Dutch company;

5. Company meeting minutes;

6. Dutch company seal.

 

Conditions for registering a Dutch company

1. Dutch company name: You can register if there is no duplicate name after checking the register.

2. Registered capital of a Dutch company: At least 18,000 euros (no capital verification is required).

3. Shareholders and directors: At least one shareholder or director, the shareholder and director can be the same person, and natural persons and legal companies of any nationality can serve as such.

4. Dutch company address: Must be a local office address in the Netherlands.

5. Dutch company manager: A Dutch citizen or a citizen with the nationality of an EU country.

 

Information required to register a Dutch company

1. Dutch company name: 3 names are recommended for selection.

2. Passports and certification documents of company directors and shareholders: Credit card statements and utility bills for the past three months can be provided as proof of address (notarization is required).

3. Company business scope: Basically no restrictions (except for special industries).

4. Registered address: Must be in the Netherlands.

5. Authorization documents and director consent documents (notarization is required).

6. Company articles of association and signature samples of board members.

Note: 2. 5. It must first be notarized at a notary office and then certified by the Netherlands Embassy in China, or you can entrust us to handle the Hague certification; if the applicant is a foreign legal person who needs to establish an investment resolution for a Dutch company.
