Types of Spanish companies
Companies investing in Spain can be divided into three categories according to the projects to be operated, the amount of investment, the composition of shareholders, etc.:
1. Joint stock companies (S.A.);
2. Limited liability companies (S.L.);
3. Individual entity companies.
You can establish a joint stock or limited liability company with only one person.
Process of company registration in Spain
1. Check the name of the Spanish company (you can register after passing it);
2. Determine the company information (member structure, registered capital, business scope, address);
3. Shareholders and directors sign legal documents, and sign power of attorney and agreement;
4. Notarization of company information + double certification (scans of shareholders and directors' passports, translation of registered address, business scope, company articles of association, etc.);
5. Apply for registration tax number (natural person NIE/legal person NIF);
6. After preparing all the information, we submit it to the Spanish Company Registry for review, which takes about 25-40 working days, and the Spanish company will be successfully registered.
Conditions for company registration in Spain
1. Spanish company name;
2. Registered capital: The minimum registered capital is 3,000 euros, and 100% must be in place in the early stage;
3. Company directors and shareholders: Foreign natural persons or legal persons can serve as shareholders and general managers of Spanish companies;
4. Spanish registered address.
Documents required for company registration in Spain
1. Company name;
2. Company business scope;
3. Registered capital: 3,000 euros, no actual payment required;
4. Scanned copies of the passports of all directors and shareholders (notarized + double certification);
5. Proof of address of all directors and shareholders (Spanish translation + notarized + double certification);
6. If the shareholder is a legal person, the following documents must be provided:
A Notarized + embassy-notarized business license; B Notarized + double certification of tax registration certificate; C Notarized + double certification of legal person's passport; D Authorization signature certification, which must be signed at the Spanish Embassy in China.
