Process of registering a company in Singapore
1. Check the company name in the Singapore company register for free and determine the company name;
2. Fill in the relevant information and we will prepare and submit it to Singapore government;
3. Follow up the whole process and send back the complete set of documents for successful registration of the Singapore company by mail;
4. It takes about 20 working days to register a company in Singapore.
Note: The name of the Singapore company must be in English, and the company name to be used cannot be the same as or too similar to the name of an existing registered company.
A full set of documents after successful registration of a Singapore company
1. One original copy of the company registration certificate (CONPANY CERT HARD COPY);
2. One electronic copy of the company registration information (CONPANY BIZFILE);
3. Announcement of company establishment;
4. Five copies of the company's articles of association (M&A);
5. One company receipt (INVOICE) and one payment voucher (PAYMENT VOCHUER);
6. Announcement of registered address;
7. Authorization document of business secretary;
8. Authorization document of nominal director;
9. Share certification document;
10. One company business seal and one steel seal.
Conditions for registering a company in Singapore
1. Company name: English name of the company, ending with LTD or PTE;
2. Registered capital: No limit, no strict time limit for paid-up capital;
3. Business scope: Generally, there is no limit on the business scope, and customers can fill it out according to their own needs;
4. Directors: At least 1 person for an ordinary company and at least 2 for a public company, and there must be 1 person with Singapore household registration or employment permit as a director of the company (our company can provide it);
5. Shareholders and share ratio: At least 1 person as a shareholder of the company, and the director and shareholder can be the same person. If more than one person is a shareholder, the proportion of each shareholding must be stated;
6. Legal secretary: Within 6 months after the company is established, a company legal secretary must be appointed;
7. Registered address: There must be a local legal registered address in Singapore (our company can provide it);
8. Auditor: Within 3 months after the establishment of a Singapore company, a registered accounting firm must be appointed as the company's auditor; private companies with income of less than 5 million Singapore dollars are exempt from annual audits.
Documents required to register a company in Singapore
1. Provide 3 company names, ending with LTD or PTE for verification;
2. Articles of Association and Bye-Laws. The signatories of the Articles of Association need to hold at least one share of the company, and the share price can be 1 Singapore dollar;
3. Letter of Appointment and Affidavit of Qualification of Directors;
4. Scanned copies of ID/passport of all shareholders and directors of the company;
5. Report of the company's registered address and office hours;
6. Details of the directors, managers, company secretaries and auditors and the record of stock issuance must be submitted within 1 month after the company is established.
